SCALEIFY AFFILIATE PROGRAM AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY. IT IS A BINDING CONTRACT.
This Affiliate Program Agreement (the “Agreement”) is a contract between you (“Affiliate,” “you”) and Scaleify LLC (“Scaleify,” “we,” “us”), a Wyoming limited liability company. It governs your application to and participation in the Scaleify Affiliate Program (the “Program”).
By applying to or participating in the Program, you are agreeing to these terms, as well as our Terms And Conditions and the Affiliate Program Policies (which are incorporated into this Agreement).
By applying to or participating in the Program, you agree to these terms.
1. Definitions
“Affiliate Link” means the unique tracking link(s) we provide to you to track the traffic and sales you refer to us.
“Commission” means the payment you earn for a Qualified Purchase (defined below).
“Customer” means a user who purchases Scaleify services via your Affiliate Link.
“Qualified Purchase” means a completed purchase of Scaleify services by a new customer who: (i) clicked your Affiliate Link; (ii) completed the purchase; (iii) is not a prior customer; and (iv) maintains their account in good standing for at least 30 days.
2. Enrollment and Participation
We have the sole discretion to accept or reject any affiliate application. If accepted, your continued participation is subject to your full compliance with this Agreement. You act as an independent contractor, not an employee, partner, or legal representative of Scaleify.
3. Commissions (40% Recurring)
We value our partnership and offer a competitive commission structure to reward you for bringing loyal customers to Scaleify.
Enterprise Plan/custom Pricing plan does not generate A Comission.
Commission Rate: You will earn a Commission equal to 40% of the revenue generated from each Qualified Purchase.
Recurring Nature: This Commission is recurring. You will continue to receive 40% of the customer's subscription payment for as long as that customer remains an active, paying client of Scaleify.
Termination of Commission: If the referred customer cancels their subscription, requests a refund, or if their account is terminated for any reason, your recurring Commission for that customer will cease immediately.
Payout Schedule: Commissions are paid out on a monthly basis.
Threshold: We reserve the right to hold payments until your earned Commissions exceed $50.00 USD.
Self-Referrals: You may not use your own Affiliate Link to purchase services for yourself or your own business. These sales will not be eligible for Commissions.
4. Tracking and Attribution
We use cookies and tracking technology to identify your referrals.
Cookie Duration: We track referrals using a browser cookie. If a user clears their cookies, uses a private browsing mode, or switches to a different device or browser, we may be unable to track the sale to you. In such cases, no Commission will be paid.
Last Click: If a user clicks multiple affiliate links from different affiliates, the Commission will be attributed to the last Affiliate Link clicked prior to the purchase.
5. Your Obligations
To maintain your status in the Program, you agree to the following:
Compliance: You must comply with all applicable laws, including the FTC Endorsement Guides (requiring you to disclose your affiliate relationship), the CAN-SPAM Act (prohibiting email spam), and the TCPA.
Honesty: You will not make false claims about Scaleify services or misrepresent our features.
Professionalism: You will not post your Affiliate Link on coupon sites, adult websites, gambling sites, or websites promoting illegal activities.
6. Intellectual Property
We grant you a non-exclusive, non-transferable, revocable license to use the Scaleify brand name and logos solely to promote our services in accordance with this Agreement.
You must not modify our logos or branding materials.
You must not bid on "Scaleify" or related trademarked keywords in Pay-Per-Click (PPC) advertising (e.g., Google Ads) without our prior written permission.
7. Termination
Without Cause: Either party may terminate this Agreement at any time by providing written notice to the other party.
For Cause: If you violate this Agreement (e.g., via spamming, fraud, or misrepresentation), we may terminate your account immediately.
Effect of Termination: If we terminate this Agreement for cause, you forfeit all pending and future Commissions. If you voluntarily terminate the Agreement, you will receive any outstanding unpaid Commissions earned up to the termination date, provided the amount meets the payment threshold.
8. Limitation of Liability
IN NO EVENT WILL SCALEIFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) ARISING FROM OR RELATED TO THIS AGREEMENT. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold Scaleify harmless from any claims, damages, liabilities, fines, or legal fees resulting from your negligence, your marketing activities, or your breach of this Agreement.
10. Dispute Resolution
This Agreement is governed by the laws of the State of Wyoming, USA. Any disputes arising from or related to this Agreement shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
